Tom Osborne and TeamMates are not clients of Retire SMART and neither were they paid a fee for his appearance at the Lincoln Office grand opening. However, Mr. Osborne and TeamMates were compensated for this endorsement indirectly, as such term is defined under SEC Rule 206(4)-1, due to the following arrangement: Effective as of March 3, 2025, Retire SMART, LLC, entered into an agreement with TeamMates Mentoring, a 501(c)(3) organization, wherein Retire SMART is the recipient of certain advertising sponsorship rights, including use of the designation “Presenting Sponsor of the Osborne Family Legacy Golf Tournament,” which benefits the TeamMates Mentoring organization founded by Tom Osborne.
In connection therewith Retire SMART will also receive other benefits, including: two complimentary foursomes for the tournament; prime location at the shotgun start; up to 30 tickets for the post-golf event; use of the Retire SMART logo on all TeamMates.org printed materials, throughout the golf course and clubhouse, on the invitation and sponsorship form, in social media, and in the TeamMates annual report; photo of staff/golfers with TeamMates staff/celebrities prior to the start of the tournament; gifts for up to 3 staff members and 8 golfers; option to provide handouts/cards/gifts inside 130 golfer bags; and an invitation to the TeamMates fall gala.
As consideration for this arrangement and the aforementioned benefits, Retire SMART is obligated to pay TeamMates, per the terms of such arrangement, a fee of $15,000 in 2025, $17,500 in 2026, and $20,000 in 2027.
The University of Nebraska-Lincoln’s Department of Intercollegiate Athletics (“Cornhuskers”) and Playfly Sports Properties, LLC (“PSP”) are not clients of Retire SMART, LLC nor SMART Wealth, LLC. However, Cornhuskers via PSP were compensated for this endorsement indirectly, due to the following arrangement: In March 2025, Retire SMART entered an agreement with the Cornhuskers for certain advertising sponsorship rights, including use of University trademarks and access to various promotional platforms.

Retire SMART agreed to pay PSP: $150,000 for 2025-26, $155,000 for 2026-27, and $160,000 for 2027-28 for these sponsorship rights and benefits.
Bill Williams is a current client of Retire SMART and was not compensated for any implied testimonial. However, Bill Williams is the founder of Patriotic Productions, a 501(c)(3) organization, and as such benefited from charitable donations made by Retire SMART in exchange for sponsorship rights to the Patriotic Parade and Purple Heart Float.
Benefits included: branding as a “Gold Level Sponsor,” banner placements, announcer participation, logo exposure at the Pat Boone & Anne Margret event, Memorial Day Ceremony, on social media, printed materials, and in the official event program.
Retire SMART donated $10,000 to Patriotic Productions for these sponsorship benefits.
